1. Agreement to Terms

By accessing or using the services provided by NocturnDev ("we," "our," or "us"), you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our services.

2. Services

NocturnDev provides:

• Custom software development and web application design
• AI-powered automation systems and chatbot development
• WhatsApp Business API integrations
• SaaS product development and consulting
• Technical support and maintenance services

3. User Responsibilities

When using our services, you agree to:

• Provide accurate and complete information
• Use our services in compliance with all applicable laws and regulations
• Not misuse or interfere with our services or systems
• Maintain the confidentiality of any account credentials
• Not use automated messaging services for spam or unsolicited communications

4. Intellectual Property

Unless otherwise agreed in writing, all intellectual property rights in deliverables transfer to the client upon full payment. NocturnDev retains the right to use general knowledge, techniques, and non-confidential components in future projects.

5. Payment Terms

• Payment terms are specified in individual project agreements
• Invoices are due within the timeframe stated in the agreement
• Late payments may incur additional fees as specified in the project contract
• All fees are non-refundable unless otherwise stated

6. AI and Automated Services

Our AI-powered services, including chatbots and automated messaging systems, are provided "as is." While we strive for accuracy, AI-generated responses may occasionally contain errors. Clients are responsible for reviewing and supervising automated communications sent on their behalf.

7. WhatsApp Business API Usage

Services utilizing the WhatsApp Business API are subject to Meta's terms and policies. Clients must comply with WhatsApp's Business Policy and Commerce Policy. NocturnDev is not responsible for any actions taken by Meta regarding client accounts.

8. Limitation of Liability

To the maximum extent permitted by law, NocturnDev shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from or related to the use of our services. Our total liability shall not exceed the amount paid by you for the specific service giving rise to the claim.

9. Termination

Either party may terminate the service agreement with written notice as specified in the project contract. Upon termination, all outstanding payments become due, and each party shall return or destroy confidential information of the other party.

10. Governing Law

These Terms shall be governed by and construed in accordance with applicable laws. Any disputes arising from these terms shall be resolved through good-faith negotiation, and if necessary, through binding arbitration.

11. Changes to Terms

We reserve the right to modify these Terms at any time. Updated terms will be posted on this page. Continued use of our services after changes constitutes acceptance of the new terms.
